Welcome to SayWave ("Service"), operated by Ludilogy Inc. ("Company," "we," "us," or "our"), a company incorporated and headquartered in the Republic of Korea.

IMPORTANT NOTICE REGARDING TRANSLATION

This English version is a translation of the original Korean Terms of Service provided for your convenience. In the event of any discrepancy, ambiguity, or conflict between this translated version and the original Korean version, the Korean version shall prevail and govern. You acknowledge that you have been advised to review the Korean version or obtain independent legal advice if you have any concerns about the terms herein.

본 영문 약관은 편의를 위해 제공되는 번역본입니다. 본 번역본과 한국어 원본 사이에 불일치, 모호함 또는 충돌이 있는 경우 한국어 원본이 우선하여 적용됩니다.

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

By using this Service, you expressly acknowledge and agree that:

• Ludilogy Inc. is a company organized under the laws of the Republic of Korea
• The Service is provided from the Republic of Korea
• These Terms are governed by Korean law
• Any disputes will be resolved in Korean courts

2. Description of Service

SayWave is a platform that allows users to:

• Create interactive waves using natural language prompts and AI
• Share, discover, and run waves created by other users
• Interact through supported social features including follows and comments

3. User Accounts

3.1 Account Creation

You must create an account to use certain features. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

4. Subscriptions, Payments, and Refunds

4.1 Subscription Plans and Auto-Renewal

SayWave offers subscription plans that provide access to premium AI features. By subscribing, you agree to the following:

Pricing: Monthly subscriptions are available starting from USD 4.99/month; annual subscriptions are available starting from USD 39.99/year. Prices may vary by region and are displayed in the app before purchase.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled at least 24 hours before the renewal date. Your payment method will be charged at the renewal price confirmed at the time of subscription.

Cancellation — 24 Hours Before Renewal: To avoid being charged for the next period, you must cancel at least 24 hours before the renewal date. You may cancel through any of the following methods:

• In-app: Navigate to Settings → Subscription → Cancel Subscription
• iOS: Open the Settings app → [Your Name] → Subscriptions → SayWave → Cancel Subscription
• Android: Open the Google Play Store → Menu → Subscriptions → SayWave → Cancel

Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the paid period.

Free Trials: If a free trial is offered, unused trial days are forfeited upon purchase of a subscription.

4.2 Refund Policy

General: Payments are processed by Apple App Store or Google Play Store. Refund eligibility is governed by the respective platform's refund policy.

Korean Users — Statutory Withdrawal Right (전자상거래법): Pursuant to the Act on the Consumer Protection in Electronic Commerce, Korean users may withdraw from a subscription purchase within 7 days of the purchase date, provided the subscription content has not been used or accessed. If the content has been partially or fully consumed, the right of withdrawal may not apply.

To request a refund as a Korean user, contact us at support@ludilogy.com within the statutory period. We will process your request in accordance with applicable law.

Non-Korean Users: Refunds are subject to the platform's (Apple/Google) refund policy. We do not process refunds directly for purchases made through app stores.

4.3 Payment Disputes

If you have a billing dispute, please contact support@ludilogy.com first. Korean users may also contact the Korea Consumer Agency (한국소비자원) or file a complaint with the Consumer Dispute Mediation Committee (소비자분쟁조정위원회) at www.ccrs.or.kr.

4.4 Pearl Digital Credits

Pearls are consumable digital credits used only inside SayWave for eligible AI generation and related creator features.

Account Binding: Purchased Pearls are credited to the SayWave account that completed the in-app purchase. Pearls cannot be transferred, sold, exchanged for cash, or moved to another account.

Apple and Platform Billing: On iOS, Pearl packs are purchased only through Apple In-App Purchase. Refund requests for iOS purchases are handled by Apple under Apple's refund process. If a refund, revocation, or chargeback is confirmed, SayWave may remove the related Pearls or adjust the account balance.

Expiration: Purchased Pearls do not expire unless required by applicable law. Monthly subscription Pearls and trial Pearls may expire at the end of the applicable subscription, trial, or grant period as shown in the app.

Cancellation: Cancelling a subscription stops future renewals but does not by itself refund or remove already purchased Pearl packs. Subscription benefits and monthly Pearl grants follow the subscription terms above.

No Cash Value: Pearls have no cash value outside SayWave and cannot be redeemed for money, external goods, or services outside the app.

5. User Content

5.1 Your Content

You retain ownership of content you create ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content within the Service.

5.2 Content Restrictions

You agree not to create or share content that:

• Violates any applicable laws or regulations
• Infringes intellectual property rights
• Contains malware, viruses, or harmful code
• Is defamatory, obscene, or promotes violence
• Harasses or discriminates against others
• Violates privacy rights of third parties

5.3 Content Moderation and Publication Controls

SayWave may use automated safety checks, user reports, operational review, and other signals to identify content that may violate these Terms or applicable law. If content appears to malfunction in a way that may harm users, mislead users, violate these Terms, or create legal or safety risk, SayWave may restrict its visibility, make it unlisted or private, unpublish it, remove it, or limit related sharing features.

Multiple reports or clear risk signals may result in temporary restrictions before final review. Where appropriate, SayWave may notify the creator of the action and available appeal or correction process.

6. AI-Generated Content

6.1 Nature of AI Content

Waves created through our Service are generated using artificial intelligence. AI-generated content may be inaccurate, incomplete, contain grammar, visual, or factual errors, or behave differently than expected. Interactive Waves may include runtime, compatibility, logic, or other functional errors that SayWave cannot reliably detect before generation or publication.

6.2 Review and Testing

SayWave does not guarantee that AI-generated content will match your intent, be suitable for any particular purpose, or run correctly in every environment. You are responsible for reviewing and testing AI-generated Waves before publishing, sharing, relying on, or otherwise using them.

6.3 Mandatory Legal Rights

Nothing in this section excludes or limits any responsibility that cannot be excluded or limited under applicable law.

7. Intellectual Property

7.1 Our Rights

The Service, including its original content, features, and functionality, is owned by the Company and protected by international copyright, trademark, and other intellectual property laws.

7.2 Open Source

Some components of the Service may be licensed under open source licenses. See our Open Source Licenses page for details.

8. Prohibited Uses

You may not:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

9. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

10. Disclaimers

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

11. Governing Law and Jurisdiction

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

11.2 Exclusive Jurisdiction

Any dispute arising out of or relating to these Terms shall be exclusively submitted to the courts of Seoul, Republic of Korea.

11.3 International Users Acknowledgment

If you are accessing the Service from outside the Republic of Korea, you do so at your own initiative and are responsible for compliance with local laws.

11.4 Waiver of Class Actions

Any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11.5 Mandatory Local Laws

Nothing in these Terms shall deprive you of the protection of mandatory provisions of consumer protection laws in your country of residence.

12. Content Reporting and Temporary Measures

12.1 Reporting

Users may report content that violates these Terms or applicable law through the in-app report function. We accept reports for illegal content, defamation, privacy violations, intellectual property infringement, content harmful to minors, harassment, and other safety concerns.

12.2 Temporary Measures and Review

Upon a user report, automated safety signal, repeated reports, or other risk signal, SayWave may promptly apply temporary measures while reviewing the content, including access restriction, visibility restriction, unlisting, unpublishing, removal, or limits on related account or sharing features. Clearly unlawful, harmful, or Terms-violating content may be restricted promptly.

Where appropriate and legally required, SayWave may notify the reporter and the content creator of the outcome and provide an appeal or correction process.

13. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and other legal notices, constitute the entire agreement between you and the Company regarding the Service.

19. Changes to These Terms

We will notify users of material changes to these Terms at least 7 days before the changes take effect, via in-app notification or email. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service.
