This English version is a translation of the Korean Terms of Service for SayWave. Translations are provided for user convenience. If there is any discrepancy, ambiguity, or conflict between this translation and the Korean Terms, the Korean Terms prevail.
1. Application of Terms and Consent to Use
These Terms apply to the use of SayWave and related websites, apps, APIs, content, and features (the "Service") provided by Ludilogy Inc. (the "Company," "we," "us," or "our").
Whether or not you sign up or log in, by viewing, running, accessing, or using the Service, you understand that these Terms and the Privacy Policy apply to your use of the Service. Features for which the Company requires separate explicit consent may be used only after completing the applicable consent or login process.
If you do not agree to these Terms, you may not use the Service. Minors or users who require consent from a legal representative must comply with applicable laws and the Company's age verification procedures.
2. Description of the Service
SayWave is a platform that helps users create photo, video, and interactive Waves using natural language prompts and artificial intelligence, and discover, search, run, and share public Waves.
The Service may include:
- Viewing Waves through public feeds, Explore, search, tag results, and shared links
- Running public or otherwise shareable Waves
- Creating, editing, remixing, and publishing AI-powered Waves
- Community features such as follows, likes, comments, bookmarks, reports, and blocks
- Account-based features such as profiles, notifications, messages, payments, subscriptions, and Pearls
The Company may change, restrict, suspend, or terminate all or part of the Service as necessary for stability, security, policy compliance, legal compliance, or operations.
3. Guest Use
3.1 Features Available to Guests
Guests may use public feed browsing, Explore, search, tag result browsing, and running public or shareable Waves within the scope permitted by the Company without logging in.
3.2 Guest Restrictions
Guests may not use features tied to an account. The following features may require login, signup, agreement to terms, or additional consent:
- Wave creation, saving, publishing, remixing, and generation history storage
- Likes, comments, bookmarks, follows, blocks, direct messages, notifications, and profile editing
- Pearl purchases, subscriptions, rewarded ads, grants, benefits, and purchase restoration
- Account-based data storage, sync, recovery, or personalization
Data, progress, settings, or usage records generated or entered during guest execution may not be saved to an account, or may be saved only in a limited way, and may not be recoverable after app deletion, device change, browser/app storage reset, or session end.
3.3 Guest Discovery Limits
The Company may limit the number of content items guests can browse, feature exposure, execution scope, request frequency, and similar usage. Ad banners are not shown to guests, and additional content, benefits, saving features, or personalization available to logged-in users may not be provided.
4. Accounts and Login
You may need to create an account to use certain features. You must provide accurate and current information and are responsible for the security of your account access methods and activities that occur under your account.
The Company may restrict, suspend, or terminate an account or specific features when necessary due to violations of these Terms or applicable law, security risks, abuse, infringement of others' rights, minor protection needs, payment disputes, or Service operations.
Returning users may be redirected to a reasonable location before login. New users may first need to complete onboarding, age verification, agreement to terms, or other required steps.
5. Age Verification and Minor Protection
The Service is intended for users aged 14 or older in Korea and users aged 13 or older in other regions according to standards set by the Company. If applicable law or app marketplace policy requires a higher age threshold or guardian consent, that requirement applies first.
The Company may request information needed for age verification, such as birth year or birth month, from members and guests. Guest age verification results may be stored in local device storage and may not sync to an account. Age verification information for logged-in users may be linked to the account for legal compliance, minor protection, and Service safety.
If a user is found not to meet the age requirement, the Company may restrict Service access or content loading.
6. Subscriptions, Payments, Pearls, and Refunds
6.1 Subscriptions and Auto-Renewal
SayWave may offer paid subscriptions or paid features. Subscription prices, benefits, renewal periods, and free trial terms are shown in the app or store checkout screen before purchase.
Subscriptions may automatically renew at the end of each billing period unless canceled by the user. To avoid being charged for the next period, you must cancel at least 24 hours before the renewal date through the App Store or Google Play subscription management screen. Cancellation takes effect at the end of the current billing period, and paid benefits may remain available until then.
6.2 Refunds and Withdrawal
In-app payments are processed through Apple App Store or Google Play. Refund eligibility and procedures are governed by each platform's policies and applicable law.
Korean users may request withdrawal or refunds under the Act on the Consumer Protection in Electronic Commerce and other applicable laws. However, withdrawal may be restricted if digital content or services have already been provided, used, or consumed, or if statutory withdrawal restrictions apply.
If a refund, payment cancellation, chargeback, or platform cancellation is confirmed, the Company may revoke the benefits, Pearls, generation rights, or other digital credits granted through that payment or adjust the account balance.
6.3 Pearl Digital Credits
Pearls are consumable digital credits that can be used only inside SayWave for eligible AI generation and related creator features.
Purchased Pearls are tied to the SayWave account that completed the purchase and cannot be transferred, sold, exchanged for cash, or moved to another account. Purchased Pearls do not expire unless required by applicable law. Monthly subscription Pearls, trial Pearls, promotional Pearls, or rewarded Pearls may expire under the conditions shown in the app.
Pearls have no cash value outside SayWave and cannot be exchanged for money, external goods, or services outside the app.
6.4 Payment Disputes
For payment or refund inquiries, contact support@ludilogy.com. Korean users may also use dispute resolution procedures through the Korea Consumer Agency, the Consumer Dispute Mediation Committee, or other competent bodies.
7. User Content
7.1 Ownership
Rights in content created, uploaded, posted, or shared by users ("User Content") remain with the user or the rightful owner. By providing User Content to the Service, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, display, distribute, reproduce, transform, store, cache, publish, and provide sharing features for User Content to the extent necessary to operate, provide, improve, and display the Service.
7.2 Content Restrictions
You must not create, upload, run, share, or post content that:
- Violates applicable law, these Terms, Community Guidelines, or app marketplace policies
- Infringes another person's copyright, trademark, publicity rights, privacy, reputation, credit, or other rights
- Is illegal, harmful, hateful, discriminatory, harassing, violent, sexually exploitative, harmful to child safety, or harmful to minors
- Causes malware, phishing, fraud, security bypass, unauthorized access, data theft, or system abuse
- Misleads users or presents false information as true
- Creates risk to the Company's or any third party's operations, security, reputation, or legal interests
7.3 Content Moderation and Publication Controls
The Company may use automated safety checks, user reports, operational review, repeated reports, runtime errors, security signals, or other risk signals to identify content that may violate these Terms or applicable law.
If content may harm users through incomplete behavior, mislead users, violate these Terms, or create legal or security risk, the Company may restrict its visibility, make it private or unlisted, unpublish it, remove it, or restrict related account or sharing features.
Multiple reports or clear risk signals may result in temporary restrictions before final review. Where necessary, the Company may inform the publisher of the reason for the action and available appeal or correction process.
8. AI-Generated Content
Waves generated through the Service are created using artificial intelligence. AI-generated content may be inaccurate or incomplete, may include grammar, visual, or factual errors, or may behave differently than expected. Interactive Waves may include runtime, compatibility, logic, security, or other functional errors that the Company cannot reliably detect before generation or publication.
The Company does not guarantee that AI-generated content will match user intent, be suitable for any particular purpose, or work correctly in every execution environment. Users must review and test AI-generated Waves before publishing, sharing, relying on, or using them.
Use of AI generation features may require separate AI generation consent, payment, Pearl usage, subscription, or other conditions. This section does not exclude or limit any Company liability that cannot be excluded or limited under applicable law.
9. Reports, Blocks, and Temporary Measures
9.1 Reports
Users may report content, comments, profiles, or other targets that violate these Terms or applicable law through the in-app reporting feature. Report reasons may include illegal content, defamation, privacy infringement, intellectual property infringement, content harmful to minors, harassment, violence, adult content, misinformation, spam, and other safety concerns.
9.2 Guest Reports
Guests may report content within the scope permitted by the Company. When a guest submits a report, the reported content may be hidden immediately on that device. This hiding is reflected only in local storage and may not persist after app deletion, storage reset, device change, or browser environment change.
Guest reports may be stored on the server as anonymous or non-member report events for Service safety and policy enforcement. To prevent report abuse and manage duplicate reports, the Company may process the minimum information necessary, including hashed identifiers instead of directly storing device identifiers or IP addresses, report target, report reason, app version, language, and usage surface.
9.3 Temporary Measures and Review
Upon user reports, automated safety signals, repeated reports, or other risk signals, the Company may promptly apply temporary measures while reviewing content, including access restrictions, visibility restrictions, making content private or unlisted, unpublishing, removal, and restrictions on related account or sharing features. Clearly unlawful, harmful, or Terms-violating content may be restricted promptly.
Where required by applicable law or deemed necessary by the Company, the Company may inform the reporter and content publisher of the outcome and provide an appeal or correction process.
False reports, repeated malicious reports, retaliatory reports, or abuse of the reporting feature may result in Service restrictions.
10. Ads and Benefits
The Company may show banners, feed ads, rewarded ads, interstitial ads, or other ads to logged-in users on the free plan or certain plans. Ads will be identified as ads where feasible and may be restricted according to applicable law, platform policy, App Tracking Transparency (ATT), ad consent management procedures, or the user's ad privacy settings.
Ad banners are not shown to guests; instead, the number of browsable content items, execution count, or certain features may be limited.
Rewarded ads, promotions, free generation benefits, or Pearl grants are provided under conditions set by the Company and may be restricted, revoked, or discontinued due to abuse, technical errors, policy violations, or platform policy requirements.
11. Prohibited Conduct
You must not:
- Use the Service for illegal purposes or in a way that violates these Terms
- Access or interfere with the Company's systems, accounts, APIs, networks, or security features without authorization
- Abuse the Service through automated tools, scraping, bots, bypass access, or abnormal traffic
- Bypass or abuse payment, Pearl, subscription, ad, referral, reward, or generation limits
- Impersonate another user or third party or provide false information
- Copy, sell, redistribute, reverse engineer, or commercially exploit the Service or content without authorization
- Violate applicable laws on intellectual property, privacy, minor protection, consumer protection, or related areas
12. Privacy
The Company's processing of personal information is governed by the Privacy Policy. Even during guest use, information may be processed to the extent necessary to provide the Service, including public content viewing, Wave execution, age verification, reporting, security, abuse prevention, and log processing.
13. Suspension and Changes to the Service
The Company may temporarily suspend, change, or terminate all or part of the Service due to system maintenance, failures, security incidents, external service provider failures, changes in law or policy, operational needs, or force majeure.
The Company will provide prior notice where possible, but may provide notice afterward when necessary for urgent security issues, incident response, legal compliance, or user protection.
14. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available." To the extent permitted by applicable law, the Company does not guarantee uninterrupted availability, error-free operation, fitness for a particular purpose, accuracy of content, quality of AI-generated results, or proper operation in every environment.
To the extent permitted by applicable law, the Company is not liable for indirect, incidental, special, consequential, or punitive damages arising from use or inability to use the Service, third-party services, User Content, AI-generated content, data not saved during guest use, or device or network environments.
This section does not exclude or limit liability that cannot be excluded or limited under applicable law, including liability for the Company's intent or gross negligence, damage to life or body, or mandatory consumer protection rules.
15. Governing Law and Jurisdiction
These Terms are governed by and interpreted under the laws of the Republic of Korea. Disputes arising from or relating to these Terms or the Service will be submitted to the competent court under applicable law.
Users who access the Service outside Korea are responsible for complying with the laws of their place of residence or use. Nothing in these Terms deprives users of mandatory consumer protection rights under the laws of their country or region of residence.
16. Changes to These Terms
The Company may change these Terms due to changes in law, policy, Service content, security, payments, privacy processing, or operational needs. Material changes will be notified by in-service notice, email, push notification, or other reasonable method before the effective date.
Changes that are material or disadvantageous to users will be notified in advance in the period and manner required by applicable law. If you do not agree to the changed Terms, you may stop using the Service and request account deletion. Continued use of the Service after the effective date may be deemed acceptance of the changed Terms.
